On-Demand HR Support Agreement
SERVICES: ENGAGE HR™ will provide the Client remote on-demand HR support.
DURATION: The Client hereby agrees to retain the services of ENGAGE HR™ beginning on or around the Effective Date. The ‘$99’ first hour amount may be utilized within 90 days of the Effective Date.
BILLING: Professional fees and expenses beyond the first hour will be billed following the month end in which they are incurred. An initial payment of $99 +HST is required upon agreement.
PROFESSIONAL FEES: Professional Fees for the Client beyond the 1 hour included for $99 +HST shall be at the currently prevailing rates plus HST:
Expenses: Additional expenses incurred by ENGAGE HR™ on behalf of the Client, including but not limited to, will be invoiced at the end of the month during which they were incurred, or in the month in which they become available to ENGAGE HR™ in the case of third party. Charges will be minimized wherever possible / practical. These charges will not exceed $50.00 in any given month without consent from the Client.
CONFIDENTIALITY: The Parties acknowledge that the nature of their business requires that they observe strict confidentiality provisions with respect to Confidential Information. The Parties acknowledge that Confidential Information is owned by the disclosing Party and is a valuable asset thereof. During the course of their business relationship, either Party may, from time to time, disclose Confidential Information to the other. The Parties agree to treat such information as confidential and to protect it.
NON-SOLICITATION OF EMPLOYEES, CONTRACTORS OR SUB-CONTRACTORS: The Client agrees that during the term of this agreement and for a period of 12 months following its completion or termination the Client shall not directly or indirectly solicit, or cause to be solicited, any employees, contractors or subcontractors of ENGAGE HR™ for the purpose of employment, whether full-time, part-time or contract, self-employment or independent contract. Should the Client wish to hire a resource of ENGAGE HR™, a placement fee equal to 45% of annual base salary or base rate (for contractors/sub-contractors) will become payable to ENGAGE HR™.
ENTIRE AGREEMENT: This agreement is complete in its entirety between ENGAGE HR™ and the Client. This agreement supersedes all other verbal or written agreements made prior to or concurrent with this agreement.
TERMINATION OF AGREEMENT: The Client may terminate this Agreement at any time, for any reason, by providing the following to ENGAGE HR™: Thirty (30) days written notice of decision to terminate, Payment of all professional fees and related disbursements required to ‘close-out’ and/or create an orderly transfer any open/active cases, files or issues, and payment of all outstanding invoices, and any work incurred but not billed at the time of receipt of written notice of decision to terminate. The $99 amounts submitted are non-refundable.
Should ENGAGE HR™ need to terminate the Agreement for any reason, other than a material breach by the Client, or a demand that ENGAGE HR™ breach the HRPA Rules of Professional Conduct, ENGAGE HR™ will provide the Client with four (4) weeks written notice, as well as a referral to a suitable replacement resource in Canada to ensure continuity of the assignment to the satisfaction of the Client.
MODIFICATIONS AND EXTENSIONS: This agreement may be modified only in writing, with the signatures of the Client and ENGAGE HR™. The Client understands and acknowledges that if it wishes additional services from ENGAGE HR™ not covered herein, including an extension, a separate agreement shall be necessary.
